Foundly Labs Pty Ltd
These Terms of Service ("Terms") govern your access to and use of the Farverse Games Hub platform, including all games, services, features, content, applications, and blockchain-integrated functionality (collectively, the "Platform") operated by Foundly Labs Pty Ltd ("Foundly Labs," "we," "us," or "our"), an Australian proprietary limited company registered in Queensland, Australia.
By accessing or using the Platform, connecting a cryptocurrency wallet, making any purchase, or interacting with any smart contract through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
1. Eligibility
You must be at least eighteen (18) years of age to access or use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement in your jurisdiction.
You further represent and warrant that you are not located in, or a citizen or resident of, any jurisdiction where the use of blockchain-based platforms, cryptocurrency, or digital assets is prohibited or restricted by applicable law, regulation, or sanctions program. You are solely responsible for ensuring that your use of the Platform complies with all laws, regulations, and rules applicable to you in your jurisdiction.
If you misrepresent your age or eligibility, you bear full responsibility for any consequences. We reserve the right to terminate any account if we discover or reasonably believe the user is under 18 years of age or otherwise ineligible.
2. Account and Wallet
To access certain features of the Platform, you must connect a compatible cryptocurrency wallet. Your wallet address serves as your primary identifier on the Platform.
You are solely responsible for maintaining the security and confidentiality of your wallet credentials, private keys, seed phrases, and any other authentication mechanisms. Foundly Labs does not have access to your private keys and cannot recover lost wallet access.
You agree that you will not share your wallet credentials with any third party, and you accept full responsibility for all activity that occurs through your connected wallet. Foundly Labs is not liable for any loss or damage arising from unauthorized access to your wallet, whether or not such access was the result of your negligence.
One player profile is associated with each wallet address. You may not create multiple accounts to circumvent any Platform restrictions, limitations, or enforcement actions.
3. Description of the Platform
The Farverse Games Hub is a blockchain-integrated gaming platform that hosts multiple games with on-chain elements. The Platform operates primarily on the Base blockchain (an Ethereum Layer 2 network) and integrates with the Farcaster social protocol.
The Platform currently includes the following games, which may change at any time:
- Monverse — A monster collection and battle game where players encounter, collect, evolve, and battle creatures across multiple biomes
- Slay to Earn — An action game where players battle monsters for on-chain rewards, craft gear, and compete on leaderboards
- FarPets — A virtual pet adoption and care simulation with evolution mechanics and social sharing
- Warplets — A community game experience within the Farverse ecosystem
Additional games may be added to the Platform from time to time. We reserve the right to add, modify, suspend, or discontinue any game, feature, or service at any time, with or without notice, and without liability to you.
4. The $FARVERSE Token
The $FARVERSE token is a utility and community token that exists on the Base blockchain. The $FARVERSE token is used within the Platform for in-game purchases, rewards, and community participation. The $FARVERSE token is not an investment. By acquiring or using $FARVERSE tokens, you acknowledge and agree to the following:
- The $FARVERSE token is intended solely for use within the Farverse ecosystem and has no inherent monetary value outside of the Platform
- Foundly Labs makes no representations or warranties regarding the current or future value of $FARVERSE tokens, and the token price may fluctuate significantly or decline to zero
- You should not acquire $FARVERSE tokens with the expectation of profit or financial return
- Purchasing, holding, or using $FARVERSE tokens does not grant you any ownership interest, equity, profit-sharing rights, governance rights, or any other financial or legal interest in Foundly Labs or its affiliates
- Foundly Labs has no obligation to maintain, support, or provide liquidity for the $FARVERSE token, and may modify the token's utility, supply mechanics, or role within the Platform at any time
- It is your responsibility to understand and comply with all applicable laws regarding digital asset ownership and use in your jurisdiction
The $FARVERSE token contract address on the Base blockchain is: 0xdFE23E2c07f8edF23ebA9c9a45E23303417C6B07. Foundly Labs is not responsible for any tokens sent to incorrect addresses or interacted with through unofficial contracts.
5. Non-Fungible Tokens (NFTs)
The Platform features several NFT collections on the Base blockchain, including but not limited to FarPets, Warplettes, Turtles, Blobs, Moltlings, and in-game item NFTs.
License Grant. When you acquire an NFT through the Platform, you receive a personal, non-exclusive, non-transferable (except as the NFT itself is transferred), non-sublicensable, royalty-free license to display the artwork and metadata associated with that NFT for your own personal, non-commercial purposes. This license is contingent upon your continued lawful ownership of the NFT as recorded on the blockchain.
Retained Intellectual Property. Foundly Labs retains all intellectual property rights, including copyright, trademark, and all other proprietary rights, in and to the artwork, designs, names, characters, and other creative elements associated with all NFT collections. Your purchase of an NFT does not transfer any intellectual property rights to you beyond the limited personal use license described above.
No Guaranteed Value. NFTs are digital collectibles with no inherent monetary value. Foundly Labs makes no representations or warranties regarding the value, rarity, utility, or future availability of any NFT. The value of NFTs may fluctuate, and you may lose the entire amount paid.
On-Chain Transfers. NFTs may be transferred on-chain to other wallet addresses at your own discretion and risk. Foundly Labs is not responsible for any losses resulting from on-chain transfers, including transfers to incorrect addresses, interactions with malicious contracts, or marketplace transactions conducted outside of the Platform.
Modification and Discontinuation. Foundly Labs reserves the right to modify the artwork, metadata, utility, or functionality associated with any NFT collection, and to discontinue support for any NFT collection, at any time without prior notice or compensation.
6. In-Game Purchases and Payments
The Platform accepts payments in USDC (a stablecoin on the Base blockchain) and $FARVERSE tokens for in-game items, currency, and other digital goods. All payments are processed via blockchain transactions on the Base network.
All Sales Are Final. Due to the nature of blockchain transactions, all purchases made through the Platform are final and non-refundable. Once a transaction is confirmed on the blockchain, it cannot be reversed. You acknowledge and agree that Foundly Labs is under no obligation to provide refunds, credits, or exchanges for any purchase, regardless of the circumstances.
Transaction Fees. Blockchain transactions may incur network fees (commonly known as "gas fees") that are separate from and in addition to the purchase price. You are solely responsible for all gas fees associated with your transactions. Foundly Labs does not control and is not responsible for gas fee amounts.
Price Accuracy. Prices for items denominated in $FARVERSE tokens are calculated based on real-time market data and may change between the time a price is displayed and the time a transaction is confirmed. The price at the time of transaction confirmation is the final price. If the price changes beyond an acceptable threshold during the transaction process, the transaction may be rejected, and you will need to initiate a new purchase.
Payment Settlement. All payment transactions are settled on-chain to designated settlement wallets. Transaction records, including transaction hashes, are stored for record-keeping purposes.
7. Virtual Items and In-Game Currency
The Platform may feature virtual items, in-game currencies, experience points, and other digital goods that exist within the games ("Virtual Items"). Virtual Items are licensed to you, not sold. You do not own Virtual Items; you hold a limited, revocable license to use them within the Platform subject to these Terms.
Virtual Items have no real-world monetary value and cannot be redeemed for legal tender or any other form of payment. You may not sell, trade, or transfer Virtual Items outside of the Platform except where explicitly permitted for on-chain assets such as NFTs.
Foundly Labs reserves the right to manage, modify, suspend, or eliminate Virtual Items, in-game currencies, reward balances, experience points, or any other digital goods at any time, for any reason, without prior notice, liability, or compensation to you.
8. Chance-Based Mechanics
Certain games on the Platform may include randomized or chance-based mechanics, such as random rewards, loot distributions, or bonus events. All chance-based mechanics on the Platform are provided as complimentary bonuses and cannot be directly purchased. You cannot pay to enter or participate in any randomized reward mechanic. Any random elements are incidental to gameplay and are not a form of gambling.
9. Advertising
The Platform features a self-serve advertising system that allows approved advertisers to purchase and display advertisements within the Platform. Foundly Labs reserves the right to approve, reject, modify, or remove any advertisement at its sole discretion, for any reason, without notice or liability to the advertiser.
All advertising content must comply with applicable laws and regulations and must not contain misleading, deceptive, offensive, or harmful material. Foundly Labs is not responsible for the content, accuracy, or legality of third-party advertisements displayed on the Platform.
10. User Conduct
You agree that you will not, and will not attempt to:
- Use cheats, exploits, automation software, bots, hacks, mods, or any unauthorized third-party software designed to modify or interfere with the Platform or any game
- Manipulate, exploit, or abuse any game mechanic, smart contract, or Platform feature in a manner not intended by Foundly Labs
- Engage in any form of market manipulation, wash trading, or artificial inflation of token or NFT values
- Engage in fraud, money laundering, terrorist financing, or any other financial crime using the Platform
- Harass, threaten, abuse, or harm other users of the Platform
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform or any smart contract deployed by Foundly Labs
- Circumvent or attempt to circumvent any geographic restrictions, access controls, or security measures implemented on the Platform
- Use the Platform for any purpose that is unlawful or prohibited by these Terms
- Interfere with or disrupt the Platform, servers, or networks connected to the Platform
- Collect or harvest any information from the Platform or other users without authorization
- Create multiple accounts to circumvent bans, restrictions, or limitations
Foundly Labs reserves the right to investigate and take appropriate action against any user who violates these conduct rules, including suspending or terminating accounts, revoking access to Virtual Items, and reporting illegal activity to law enforcement authorities.
11. Intellectual Property
All content, materials, software, code, artwork, designs, characters, names, logos, trademarks, trade dress, game mechanics, and other intellectual property displayed on or through the Platform (collectively, "Platform Content") are owned by or licensed to Foundly Labs and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, Foundly Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not include any right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, sell, or commercially exploit any Platform Content.
You may not use any Foundly Labs trademarks, logos, or brand elements without our prior written consent.
12. Third-Party Services and Platforms
The Platform integrates with and relies upon various third-party services, protocols, and platforms, including but not limited to:
- Base Blockchain — The Layer 2 network on which transactions, tokens, and NFTs are recorded
- Farcaster Protocol — The decentralized social protocol used for authentication and social features
- Third-party wallet, payment, identity, and infrastructure service providers
These third-party services are governed by their own terms of service and privacy policies. Foundly Labs does not control and is not responsible for the availability, security, accuracy, or performance of any third-party service. Your use of third-party services is at your own risk.
Foundly Labs is not liable for any loss, damage, or disruption caused by any failure, downtime, security breach, or change in any third-party service, including but not limited to blockchain network outages, smart contract vulnerabilities in third-party protocols, or changes to third-party APIs or terms of service.
13. Blockchain Risks
By using the Platform, you acknowledge and accept the following risks inherent to blockchain technology and digital assets:
- Smart Contract Risk. The Platform relies on smart contracts deployed on the Base blockchain. Smart contracts may contain bugs, vulnerabilities, or errors that could result in the loss of tokens, NFTs, or other digital assets. While Foundly Labs takes reasonable steps to secure its smart contracts, no guarantee of security can be provided.
- Network Risk. Blockchain networks may experience congestion, forks, reorganizations, or other disruptions that could delay, alter, or prevent transactions. Foundly Labs is not responsible for any losses resulting from blockchain network issues.
- Irreversibility. Blockchain transactions are irreversible once confirmed. If you send tokens or NFTs to an incorrect address, interact with a malicious contract, or authorize an unintended transaction, Foundly Labs cannot reverse the transaction or recover your assets.
- Regulatory Risk. The legal and regulatory landscape for blockchain technology, cryptocurrencies, and digital assets is evolving and uncertain. Changes in laws, regulations, or enforcement actions could adversely affect the Platform, the $FARVERSE token, or your ability to use the Platform.
- Price Volatility. The value of cryptocurrencies and digital assets, including $FARVERSE tokens and NFTs, is highly volatile and may fluctuate significantly. You may lose some or all of the value of your digital assets.
- Wallet Security. You are solely responsible for the security of your cryptocurrency wallet. Foundly Labs cannot recover lost private keys, seed phrases, or wallet access.
- Protocol Changes. Underlying blockchain protocols may undergo upgrades, hard forks, or other changes that could affect the functionality or value of tokens and NFTs on the Platform.
- Bridge and Interoperability Risk. Transferring assets between blockchains or using cross-chain bridges involves additional risk, including the risk of total loss of bridged assets.
- Tax Obligations. You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Platform, including the acquisition, holding, transfer, or disposal of digital assets.
14. Disclaimer of Warranties
THE PLATFORM, ALL GAMES, CONTENT, VIRTUAL ITEMS, TOKENS, NFTS, AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDLY LABS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, FOUNDLY LABS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FOUNDLY LABS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, DATA, OR INFORMATION AVAILABLE THROUGH THE PLATFORM, INCLUDING TOKEN PRICES, TRANSACTION DATA, OR GAME STATISTICS.
YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOUNDLY LABS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, DIGITAL ASSETS, TOKENS, NFTS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF FOUNDLY LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, FOUNDLY LABS SHALL NOT BE LIABLE FOR ANY LOSSES RESULTING FROM:
- Fluctuations in the value of $FARVERSE tokens, NFTs, or any other digital asset
- Smart contract failures, bugs, or vulnerabilities
- Unauthorized access to or alteration of your wallet, transmissions, or data
- Blockchain network failures, congestion, forks, or reorganizations
- Actions or omissions of third-party service providers
- Regulatory actions or changes in applicable law
- Your failure to maintain the security of your wallet credentials
- Transactions you authorize or conduct, whether intended or unintended
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FOUNDLY LABS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO FOUNDLY LABS THROUGH THE PLATFORM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING UNDER THE AUSTRALIAN CONSUMER LAW.
16. Indemnification
You agree to indemnify, defend, and hold harmless Foundly Labs, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Platform
- Your breach of these Terms or any representation or warranty made by you
- Your violation of any applicable law, regulation, or third-party right
- Your negligence or wilful misconduct
- Any transaction you conduct through the Platform
- Any dispute between you and any third party arising from your use of the Platform
17. Dispute Resolution
Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA) or another mutually agreed arbitration body. The arbitration shall be conducted in Brisbane, Queensland, Australia, in the English language, by a single arbitrator.
Class Action Waiver. YOU AND FOUNDLY LABS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Foundly Labs.
Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction for disputes within the jurisdictional limits of such court.
Injunctive Relief. Nothing in this section shall prevent Foundly Labs from seeking injunctive or other equitable relief from the courts of Queensland, Australia, for matters related to intellectual property rights, data security, or unauthorized access to the Platform.
Pre-Arbitration Dispute Resolution. Before initiating arbitration, you agree to first contact Foundly Labs at contact@foundly.dev to attempt to resolve the dispute informally. If the dispute is not resolved within thirty (30) days of the initial notice, either party may proceed to arbitration.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you irrevocably submit to the exclusive jurisdiction of the courts of Queensland, Australia.
19. Modification of Terms
Foundly Labs reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. Updated Terms will be posted on the Platform with a revised "Last Updated" date. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.
It is your responsibility to review these Terms periodically for changes. Material changes may be communicated through the Platform, but Foundly Labs is not obligated to provide individual notice of any changes.
20. Termination
You may stop using the Platform at any time by disconnecting your wallet and ceasing all use.
Foundly Labs may, at its sole discretion and without prior notice or liability, suspend, restrict, or terminate your access to the Platform, for any reason or no reason, including but not limited to:
- Violation of these Terms or any applicable law
- Fraudulent, abusive, or illegal activity
- Conduct that is harmful to other users, Foundly Labs, or third parties
- Extended inactivity
- Requests by law enforcement or government agencies
Upon termination, your license to use the Platform immediately ceases. Foundly Labs is not obligated to maintain, return, or compensate you for any Virtual Items, in-game currency, progress, rewards, or other data associated with your account. On-chain assets (tokens and NFTs) held in your wallet remain in your wallet, as Foundly Labs does not have custody of your wallet.
Sections 4 through 18, and any other provisions that by their nature should survive termination, shall survive termination of these Terms.
21. General Provisions
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Foundly Labs regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.
Waiver. The failure of Foundly Labs to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Foundly Labs.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Foundly Labs. Foundly Labs may assign these Terms without restriction.
Force Majeure. Foundly Labs shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, blockchain network failures, cyberattacks, pandemics, or infrastructure failures.
No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Foundly Labs.
